Key Pre-Order Acknowledgements
By placing a pre-order, you acknowledge and agree to the following points, which are further detailed in these Terms:
- Estimated Ship Date: The projected ship date (e.g., July 2025) is an estimate only and may be subject to delays.
- Cancellation Policy: You may cancel your pre-order for a full refund (less credit card transaction fees) any time before you receive a shipment notification.
- Right to Cancel: Wallie Frame, LLC reserves the right to cancel and refund your pre-order at its discretion.
- Review FAQs: You confirm you have reviewed the Frequently Asked Questions on our main page.
- Duties/Taxes/Tarrifs: Orders may incur additional import duties, taxes, or customs fees upon delivery, for which you are responsible. We will notify customers of additional fees. You will have the option to cancel your order for a refund minus credit card fees.
1. Introduction & Acceptance
Welcome to Wallie! These Terms of Service ("Terms") govern your use of the Wallie device, mobile application, website (located at https://wallieframe.com), and related services (collectively, the "Services") provided by Wallie Frame, LLC ("Wallie Frame", "we", "us", "our"). Our goal is to provide you with a delightful way to experience your memories. By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Services.
2. Description of Service
Wallie Frame provides a digital e-ink frame device and associated software applications that allow users to display photos synced from their personal devices or accounts. Features, specifications, and pricing are subject to change without notice.
3. User Accounts
To use certain features of the Services (e.g., syncing photos via the mobile app), you may need to create an account. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
4. Pre-Orders and Purchases
Pre-Orders: When you place a pre-order for a Wallie device, you are expressing an intent to purchase the product. We may collect payment information at the time of the pre-order, but your payment method will typically only be charged when the product is ready to ship. Estimated shipping dates are projections and subject to change. Please review the "Key Pre-Order Acknowledgements" highlighted above for important details regarding cancellations, estimated timelines, and potential additional fees.
Purchases: All purchases made through the Services are subject to our acceptance. We reserve the right to refuse or cancel any order for any reason. Prices are listed in USD unless otherwise specified and do not include taxes or shipping fees, which will be added to your total.
Payment: You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Services. You authorize us and our third-party payment processors (e.g., Stripe) to charge your selected payment method.
5. Shipping and Delivery
Shipping and delivery dates are estimates only and cannot be guaranteed. We are not liable for any delays in shipments. Risk of loss and title for items purchased pass to you upon our delivery to the carrier.

7. Use Restrictions
You agree not to use the Services:
- In any way that violates any applicable local, national, or international law or regulation.
- To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail", "chain letter," "spam," or any other similar solicitation.
- To impersonate or attempt to impersonate Wallie Frame, LLC, a Wallie Frame employee, another user, or any other person or entity.
- To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which, as determined by us, may harm Wallie Frame or users of the Services or expose them to liability.
- To attempt to reverse engineer, decompile, or otherwise attempt to discover the source code of the device firmware or mobile application.
8. Intellectual Property
The Services and their original content, features, and functionality are and will remain the exclusive property of Wallie Frame, LLC and its licensors. The Services are protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Wallie Frame, LLC.
9. User Content (Photos)
You retain ownership of the photos you choose to display on your Wallie device. By using the Services to sync your photos, you grant us a limited, non-exclusive, royalty-free license solely to process, store (temporarily, if necessary), and transmit your photos for the purpose of displaying them on your Wallie device as intended by the Services.
10. Communications
By creating an account or providing us with your email address, you may receive communications from us, including service announcements, administrative messages, and potentially newsletters or promotional materials related to Wallie. You can opt-out of receiving promotional emails by following the unsubscribe link provided in those emails or by contacting us directly.
11. Third-Party Links & Services
Our Services may contain links to third-party websites or services (e.g., payment processors like Stripe) that are not owned or controlled by Wallie Frame, LLC. We are not responsible for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Wallie Frame, LLC shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such third-party sites or services. We advise you to read the terms and privacy policies of any third-party websites or services that you visit.
12. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WALLIE FRAME, LLC EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
13. Limitation of Liability
IN NO EVENT SHALL WALLIE FRAME, LLC, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (III) ANY CONTENT OBTAINED FROM THE SERVICES; AND (IV) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
14. Governing Law
These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
15. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.
